Governed by and interpreted under the applicable laws of Nepal.


1. Acceptance of Terms

By accessing the Tonicbyte Pvt. Ltd. website (tonicbyte.com.np), engaging our engineering services, or submitting project proposals, you agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our digital services or contracting our engineering team.

2. Engineering & Software Services

Tonicbyte delivers custom software architecture, full-stack web platforms, mobile application development (React Native/iOS/Android), and technical consultancy. Specific project timelines, milestones, costs, and technical specifications are defined in dedicated client contracts or Statements of Work (SOW).

  • Scope Changes: Any request for features or revisions outside the agreed project scope will require a revised project quotation or addendum.
  • Client Cooperation: Timely delivery depends on prompt client feedback, access credentials, and approval milestones.

3. Intellectual Property & Ownership

Upon final settlement of all invoices and project fees, full legal ownership of the custom codebase, design assets, and end deliverables built specifically for the client transfers entirely to the client.

Pre-existing Code: Tonicbyte retains ownership of underlying reusable internal libraries, boilerplate utilities, or open-source components incorporated into the product.

Portfolio Rights: Unless protected under a strict Non-Disclosure Agreement (NDA), Tonicbyte retains the right to list completed work in our public portfolio.

4. Payments, Invoicing, & Cancellation

Clients agree to adhere to the payment schedule outlined in their formal service contract. Initial deposits or milestone payments are required prior to project kickoff or code releases.

Either party may terminate a project agreement upon written notice if the other party breaches contractual duties. Refunds for completed work or active development milestones are non-refundable.

5. Limitation of Liability

Tonicbyte delivers software according to high engineering standards. However, we are not liable for indirect, incidental, or consequential damages resulting from third-party server downtime, API outages, unauthorized system breaches on client-hosted infrastructure, or software misuse.

6. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Nepal. Any legal disputes or claims arising out of these terms shall be subject to the jurisdiction of the competent courts in Pokhara or Kathmandu, Nepal.
